經濟部啟動「企業併購法」十年大翻修工程，新法將放寬公司分割及股份轉換對價方式，不僅限發行新股，還可採現金、股份與其他財產支付。此舉將有助企業財務操作更加靈活、有助活絡國內併購市場。
經濟部啟動「企業併購法」十年大翻修工程，新法將放寬公司分割及股份轉換對價方式，不僅限發行新股，還可採現金、股份與其他財產支付。此舉將有助企業財務操作更加靈活、有助活絡國內併購市場。行政院政務委員薛琦本周四（4日）將召開企併法審查會，盼修正案在近期底定，趕在立法院新一會期完成三讀。
企業併購法自2002年上路以來，在2004年時曾「小改版」，但仍遭外界批評趕不上經濟變化與企業需求。近期經濟部重啟企併法翻修工程，全案修正幅度超過二分之一。
根據了解，新舊版企併法最大差異是，新版企併法將回應近年外界期待，包括簡化併購程序、增加併購彈性、准許併購對價選擇多元化與保障投資人權益等，可說是「興利」與「除弊」並舉。

(1) 2013年下半年伊始，美國股市周一溫和收高，三大指數自盤中高點大幅回檔。道瓊指數盤中一度大漲逾170點。美國今日公布6月製造業指數，顯示經濟擴張，5月營建支撐亦上升。該二數據與經濟逐漸改善相符合，但並未強勁至引發聯準會(Fed)減緩振興政策的擔憂。道瓊工業平均指數收高65.36點或0.44%至14974.96。Nasdaq指數收高31.24點或0.92%至3434.49。S&P 500指數收高8.68點或0.54%至1614.96。費城半導體指數收低0.70點或0.15%至467.73。
